By-Laws of the Saratoga Park Woods Homeowners Association
February 20, 2001
APPROVED AT GENERAL MEETING FEBRUARY 2001
ARTICLE I
NAME
The association shall be known as the Saratoga Park Woods Homeowners
Association.
ARTICLE II
PURPOSES
Section 1
To work for the betterment and improvement of the general
community of which this Association is a part.
Section 2
To maintain the relative property values in relation to
other property values in Saratoga.
Section 3
To develop a community spirit of cooperation in maintaining
the attractive appearance of our area.
Section 4
To represent the interest of the members before any governmental
bodies.
Section 5
To keep area residents informed of serious matters in the
opinion of the Board of Directors which may affect the area.
ARTICLE III
BOUNDARIES
That area bounded by Cox Avenue, Saratoga Creek, Prospect Road, Lawrence
Station Expressway and Saratoga Avenue, excluding all Commercial and
Educational properties.
ARTICLE IV
MEMBERSHIP
Section 1
Membership in the Association shall be limited to residential
property owners within the boundaries defined above. Further, any
person occupying a residence as a legal tenant may be entitled to
membership in lieu of the owner.
Section 2
"
Title" to real property zoned residential property shall constitute
entitlement to one membership. No individual, owner, family
group, co-owners, associations, syndicates, corporations,
or partnerships shall be entitled to more than one membership.
Section 3
Any member desiring to withdraw from the association should
signify his intention in writing to the Secretary at least thirty
(30) days prior to the date of holding the regular Association meeting.
Section 4
Any member may be suspended or expelled by majority vote
of the Board of Directors present at the time of voting, for conduct
injurious to the interests and welfare of the Association or in violation
of it's by-laws or rules adopted by the membership. Any members receiving
notice of such proposed suspension or expulsion may demand a hearing
of the charges. Such demand shall be in writing and directed to the
Secretary of the Association within two weeks of mailing said notice.
Section 5
Classification of members. There shall be two classes of
membership: voting and non-voting. All persons occupying a residence
as legal resident are entitled to non-voting membership status. Upon
completion of an application and payment of annual dues for the calendar
year, a legal resident will attain voting membership status and will
be entitled to vote on all matters subject to vote at general meetings.
Membership classification not withstanding, all members shall have
equal rights, powers, privileges and liabilities except as specified
or hereinafter provided otherwise.
ARTICLE V
GOVERNING BODIES
Section 1
The officers of the Association shall be as follows: President,
Vice President, Secretary and Treasurer. These officers shall be
elected by the Board of Directors from its membership.
Section 2
The Board of Directors shall consist of the officers as
stipulated in Section 1 and not more than five at large members,
all elected by the voting membership. Elected Directors will communicate
to a portion of the membership in a given area the issues before
and the decisions of the Board of Directors.
Section 3
The term of office of the officers and directors shall
be for one year.
Section 4
The President shall: preside at all meetings of the Association
and the Board of Directors; shall be a member ex-officio of all committees
except the Nominating Committee and shall perform all other duties
usually pertaining to that office. He shall sign on behalf of the
membership all legal documents and other papers and instruments in
writing which have been authorized by the membership and/or the Board
of Directors.
Section 5
The Vice President shall perform the duties of the President
in his absence and shall be the chairman of the Membership Committee.
Section 6
The Secretary shall keep all the records of the Association,
including but not limited to meeting minutes; shall perform all such
correspondence as is required by the President or the Board of Directors;
and shall perform such other duties as shall from time to time be
prescribed by the Board of Directors or the President.
Section 7
The Treasurer shall receive all moneys of the Association,
shall keep an accurate record of all receipts and expenditures using
double entry accounting, and shall pay out of the funds only when
authorized by the Executive Committee. All such funds paid out shall
be by check, signed by the Treasurer and either of the authorized
co-signers. The Treasurer shall present an account at each meeting
of the Association, and at other times when requested by the Board
of Directors or the President, and shall make a full report at the
end of the year.
Section 8
Any vacancy of the Board membership shall be filled by
appointment of the Board of Directors. The Board of Directors shall
elect the new officer.
ARTICLE VI
COMMITTEES
Section 1
The Board of Directors authorize and define the powers
and duties of all committees.
Section 2
The President shall appoint all committees subject to the
approval of the Board of Directors.
Section 3
No committee is authorized to make expenditures or pledge
the credit of the Association in excess of fifty (50) dollars, without
the express authority of the Board of Directors.
Section 4
The Board of Directors shall have the power to appoint
from time to time from their own members, or from the membership
at large, standing or special committees to consist of such members
as they see fit, and to perform such duties as may be assigned from
them respectively by the Board of Directors.
Section 5
The chairmen of all special committees shall submit their
plans of work to the Board of Directors, and no committee work shall
be undertaken without the approval of the Board of Directors.
ARTICLE VII
NOMINATIONS
The Board of Directors shall constitute a Nomination Committee, and
thirty (30) days or more before the expiration of the term of office
shall select candidates to be voted on. These names shall be submitted
to the general membership at the General Meeting at which elections
shall be held.
ARTICLE VIII
MEETINGS
Section 1
A regular meeting of the Association shall be convened
at least twice a year at the Saratoga Woods Swim Club clubhouse,
or at such other place as designated by the Board of Directors. Special
meetings may be called by the Board of Directors or by petition of
ten (10) percent of the voting membership, five days notice having
been given. The first regular meeting of the year shall be the Annual
Meeting at which progress reports shall be given and the new directors
elected and installed.
Section 2
The Board of Directors shall meet not less than three times
a year, and such meetings shall be open to all members of the Association.
Special meetings of the Board of Directors may be called as requested
by the President or a majority of the members of the Board of Directors.
Section 3
A quorum for the purpose of formal meetings of the Board
of Directors shall consist of any five members of the Board of Directors.
ARTICLE IX
AMENDMENTS
These By-Laws may be amended at any regular meeting of the Association
by a two-thirds vote of the members present, provided notice of the
proposed amendment has been given at the previous regular meeting,
or by written notice from the Board of Directors thirty days prior
to the meeting. Absentee voting will be allowed. Absentee ballots must
be submitted to the Secretary fifteen days prior to the General Meeting
at which voting on proposed meetings will be conducted.
ARTICLE X
"Robert's Rules of Order" shall govern the parliamentary
procedure of the organization and its membership in carrying on
the
business in all cases not specifically covered by the By-Laws.
ARTICLE XI
RECORDS
All records and files of this organization shall be in the custody
of the Secretary and/or Treasurer.
ARTICLE XII
DUES
The amount of Annual dues shall be approved by a majority vote of
the membership present at the first General Meeting of the year.
